By entering into an agreement with Asteria Commerce Limited, you agree to the scope of work outlined in your individual contract. This may include deliverables, timelines, payment schedules, and specific expectations as mutually agreed upon.

4. Intellectual Property
‍

Any intellectual property (IP) created during the course of the services provided remains the property of Asteria Commerce Limited until full payment is received. Upon completion and payment, IP rights may be transferred to the client unless otherwise stated in the contract. The client grants Asteria Commerce Limited a license to use the work for promotional purposes, unless otherwise agreed upon.

5. Client Obligations

• The client agrees to provide necessary materials and information promptly to facilitate the timely delivery of services.
• The client is responsible for ensuring the accuracy of all materials provided, including but not limited to text, images, and branding.
• The client will review and approve deliverables within reasonable timeframes as outlined in the service agreement.

6. Payment Terms
‍

• All payments must be made in accordance with the payment schedule agreed upon in the contract. Late payments may incur a late fee as specified.
• Asteria Commerce Limited reserves the right to suspend or terminate services if payment is not received by the due date.

7. Confidentiality
‍

Both parties agree to keep confidential all information received from the other party during the course of the engagement. This includes client-specific data, strategies, and any proprietary information. Confidentiality obligations extend beyond the termination of the agreement.

8. Data Protection
‍

We comply with relevant data protection laws and regulations, ensuring that any personal data collected during the provision of our services is securely stored and processed. Your personal information will only be used in accordance with our Privacy Policy.

9. Termination
‍

Either party may terminate the service agreement with written notice. In the case of termination by the client, any work completed up to that point will be billed and must be paid for in full. Termination by Asteria Commerce Limited due to non-payment or breach of agreement will result in the client forfeiting any paid fees.

10. Liability and Disclaimer
‍

Asteria Commerce Limited will not be liable for any indirect, incidental, or consequential damages arising from the use of our services. While we make every effort to deliver high-quality services, we do not guarantee specific results or outcomes, including but not limited to rankings, traffic, or sales.

11. Force Majeure
‍

Neither party shall be held liable for failure to perform their obligations if such failure is due to events beyond their reasonable control, including natural disasters, government actions, or technological issues.

12. Governing Law
‍

These Terms and Conditions shall be governed by the laws of Hong Kong. Any disputes will be resolved in the competent courts of Hong Kong.

13. Amendments
‍

Asteria Commerce Limited reserves the right to modify or amend these Terms and Conditions at any time. Clients will be notified of any significant changes, and continued use of our services after changes are made will be considered acceptance of the updated Terms.
